Terms of Service

These terms apply to your use of the Komerce website and to any Shopify or Faire engagement we deliver. By booking a call, accepting a proposal or paying an invoice, you agree to them.

1. Services

Komerce provides Shopify store design and development, Faire wholesale catalog setup and optimisation, conversion rate optimisation, and ongoing commerce growth support.

The exact deliverables, timeline, fees and assumptions for your project are defined in a written proposal or statement of work (SOW). Where these terms and a signed SOW conflict, the SOW prevails.

2. Engagement and scope

Work begins once the proposal is accepted and the first payment or deposit is received. Anything not explicitly listed in the SOW is out of scope.

Additional requests are quoted as a change order and may affect the timeline. We do not start out-of-scope work without written approval.

3. Fees and payment

Project work is typically billed 50% to start and 50% on delivery; retainers are billed monthly in advance. Invoices are due within 7 days unless the SOW says otherwise.

Late payments over 14 days may pause active work and incur a 2% monthly late fee. Fees exclude taxes and third-party costs such as Shopify plans, apps, themes, fonts, stock imagery and ad spend, which are billed to you directly.

4. Client responsibilities

You agree to provide timely feedback, content, brand assets, product data and the platform access we need (for example Shopify staff access or a Faire brand account).

You confirm you own or are licensed to use all materials you supply. Delays in access, content or approvals shift the timeline accordingly.

5. Revisions and approval

Each deliverable includes the revision rounds stated in the SOW, typically two. Further rounds are billed at our standard hourly rate.

If we receive no feedback within 10 business days of delivery, the deliverable is treated as approved.

6. Intellectual property

On full payment, you own the final custom deliverables produced specifically for you, including approved designs and store code.

We retain ownership of our pre-existing frameworks, internal tooling, templates and know-how, and grant you a perpetual licence to use them as embedded in your deliverables. Third-party assets remain under their own licences.

7. Portfolio and confidentiality

Both parties keep confidential information private. Unless you ask us in writing not to, we may reference your brand and show non-sensitive visuals of the work in our portfolio and case studies.

8. Results and warranties

We apply proven ecommerce, DTC and wholesale practice, but commerce results depend on factors outside our control such as product, pricing, market demand and platform changes. Any performance figures we share are historical examples, not guarantees.

Deliverables are provided without implied warranties beyond those required by law. We will fix defects in our work reported within 30 days of delivery at no cost.

9. Third-party platforms

Shopify, Faire, apps and other tools are operated by third parties under their own terms. We are not responsible for their downtime, policy changes, fees or account decisions.

10. Limitation of liability

To the maximum extent permitted by law, our total liability arising from an engagement is limited to the fees you paid in the three months preceding the claim. We are not liable for indirect, incidental or consequential loss, including lost profit or revenue.

11. Termination

Either party may end a retainer with 30 days' written notice. Project work may be terminated with 14 days' notice; you pay for work completed and approved up to the termination date, and deposits already paid are non-refundable.

12. Governing terms and contact

These terms are governed by the laws applicable at Komerce's place of business, and disputes will first be addressed in good faith between the parties.
